Terms and Conditions

§ 1 Scope

(1) These General Terms and Conditions (hereinafter "GTC") apply to all contracts concluded between Luure GmbH (hereinafter "Provider") and the customer (hereinafter "Client").

(2) Deviating, conflicting, or supplementary general terms and conditions of the Client shall only become part of the contract if and to the extent that the Provider has expressly agreed to their validity in writing.

§ 2 Subject of Contract

(1) The Provider provides services in the field of computer vision and artificial intelligence. The exact scope of services results from the respective offer or order confirmation.

(2) Unless expressly agreed otherwise, the Provider does not owe a specific result, but merely an effort to achieve the agreed goals.

§ 3 Offer and Conclusion of Contract

(1) Offers from the Provider are non-binding and without obligation.

(2) A contract is only concluded through the Provider's written order confirmation or through the commencement of service provision.

§ 4 Remuneration and Payment Terms

(1) Remuneration is based on the prices stated in the offer or order confirmation.

(2) All prices are exclusive of statutory VAT.

(3) Invoices are payable within 14 days of the invoice date without deduction.

§ 5 Client's Cooperation Obligations

(1) The Client shall provide the Provider with all information, data, and materials required for the execution of the order in a timely manner and free of charge.

(2) The Client shall designate a contact person who is available for queries and coordination.

§ 6 Rights of Use

(1) Upon full payment, the Client receives the agreed rights of use to the created work results.

(2) The Provider retains the right to use the work results in anonymized form for its own reference purposes.

§ 7 Warranty and Liability

(1) The Provider is liable without limitation for intent and gross negligence.

(2) For slight negligence, the Provider is only liable in case of breach of essential contractual obligations and limited in amount to the foreseeable, contract-typical damage.

(3) The above limitations of liability do not apply to damages resulting from injury to life, body, or health.

§ 8 Confidentiality and Data Protection

(1) Both parties undertake to keep confidential all confidential information obtained in the course of cooperation.

(2) The processing of personal data is carried out in accordance with the provisions of the GDPR and our privacy policy.

§ 9 Final Provisions

(1) The law of the Federal Republic of Germany applies.

(2) The place of jurisdiction for all disputes arising from this contract is Cologne, provided the Client is a merchant.

(3) Should individual provisions of these GTC be invalid, this shall not affect the validity of the remaining provisions.
